IT Maintenance Contract terms and conditions
On Site Survey
To agree what level of service contract is required The Networking Company will undertake an initial free on site survey. This will be reviewed annually to ensure that adequate cover remains in place.
This will provide:
List of hardware and software
Main uses and users with schematic
Ongoing problems/immediate issues that will need to resolved or planned for within the contract
Recommendations and maintenance contract costed accordingly (per pc pcm as per our current price list)
Identify any third party software or dial up settings required for delivery of specific company services or products.
The Maintenance Service
The Networking Company is able to offer a quality maintenance service on most items of computer and related equipment. Unless otherwise stated the equipment serviced and maintained is:
IBM compatible PCs running Microsoft Operating Systems
Computer Network Infrastructure (switch/hub/routers/cabling etc)
Printers only if consumables supplied by The Networking Company
Replacement Parts
Any replacement parts that are not covered by manufacturer's on site warranty are provided at cost plus 10 per cent.
Procedure for Fault Reporting
Faults should be logged by telephoning 0845 6340844, fax: 01835 870380 or email support@thenetworkingcompany.co.uk . You will be asked for your name, company, location and telephone contact details, equipment details, and a full description of the fault symptoms including any error messages.
The Networking Company's service is delivered either within a 4 working hour's response time by phone, fax or email or by a mutually agreeable call out date and time dependant on problem, urgency, location and access. (Please note that these arrangements can only be met if logged through the Office).
Items covered by the Maintenance Contract
The hardware maintenance contract covers labour for fitting replacement parts, if available, that fail during the normal usage of the equipment. Replacement parts covered by manufacturer's warranty are provided free otherwise parts are charged at cost plus 10 per cent.
Items not covered by the Contract
We do not cover the following as part of the maintenance contract:
Items stolen or damaged through attempted theft
Equipment that has been used for other that it's originally intended purpose
Consumable items (ribbons, cartridges, batteries, etc)
Software (separate software maintenance is available e.g Sage Cover)
Equipment that is operated in poor conditions
Equipment that is operated without external covers or housings in place
Damage by electrical power surges to servers not fitted with Uninterruptible Power Supply (UPS) units.
Older parts of systems that have slowly deteriorated through fair wear and tear. This Includes monitors that slowly degenerate through normal ageing. It may not always be possible to purchase spares for older equipment
Remedial work that has been caused by alterations of configurations other than agreed with The Networking Company.
Virus Damage
The contract does not cover repair of virus infection unless the client's email and website is hosted on The Networking Company's own servers and subscribing to the The Networking Company's virus scanning service. In addition these clients should be running up to date anti virus software.
Payment Terms
Payment of maintenance contracts are by monthly standing order. Cover commences on payment of the first instalment. VAT invoices to back up payments are issued on a quarterly basis.
Termination
Either party may terminate the agreement governed by these terms and conditions with one month's effect on written notice.
General Terms
The Networking Company reserves the right to amend the terms and conditions at any time.
Data Protection
The information you provide or we hold may be used by our employees and/or agents to:
Identify you when you make a telephone enquiry
Help administer any accounts, services and products offered by our company now and in the future
Write to, telephone, email or visit you in person with information about other services and products offered by us. We will not contact you in this way if you have opted out or otherwise not consented. (Please write to us if you do NOT wish to hear about other products and services.)
Internet Services
The completing and signing of the standing order form or payment of the invoice registers your acceptance of the standard Internet Services Terms and Conditions of The Networking Company webhosting and domain name registration services. Charges are made as per our current price list.

The Networking Company provides the following Internet Services:

Virus scanning
The Networking Company reserves the right to suspend or cancel a customer's access to any or all services provided by The Networking Company if it decides that the account has been inappropriately used or otherwise.
The Networking Company reserves the right to refuse service and /or access to its server to anyone.
The Networking Company does not allow any of the following content to be stored on its server:
Illegal Material - This includes copyrighted works, commercial audio, video, or music files, and any material in violation of any Federal, State or Local regulation. Adult Material - Includes all pornography, erotic images, or otherwise lewd or obscene content. The designation of "adult material" is left entirely to the discretion of The Networking Company. Warez - Includes pirated software, ROMS, emulators, phreaking, hacking, password cracking. IP spoofing, etc, and encrypting of any of the above. Also includes any sites which provide "links to" or "how to" information about such material.
The Networking Company reserves the right to suspend or cancel a customer's access to any or all services provided by The Networking Company as a result of non-payment of the fees invoiced within the agreed payment terms.
Domain name registration/renewal
The Networking Company will register your requested domain name immediately and will charge you for the set up fee immediately. The domain name will be renewable in two years.
Clients will be notified one month in advance of the renewal date and the charges for renewal will be as per the current price list at that date.
Failure to pay the renewal fee within the stated terms of 7 days will result in cancellation of the domain name. This could result in the loss of your website hosted on that domain or any email services provided on that domain by The Networking Company. The Networking Company will not be liable for loss of any material due to the client's failure to pay for the renewal of the domain name.
The Networking Company will make every reasonable endeavour to ensure that the domain name or existing domain name is registered or renewed. The client acknowledges that it is not possible for The Networking Company to guarantee registration or renewal and therefore will not liable for any failure to register or renew the identified domain name.
The Networking Company does not accept responsibility for the use or publication of the domain name until such a time as the domain name has been activated and tested on the internet.
Web hosting
The Networking Company will host websites domains continuously for a period of 12 months. The hosting fee is payable either as a one off annual fee or by monthly standing order.
The service can be cancelled by either party giving one month's written notice.
The Networking Company draws your attention to the agreement you have with any existing Internet Services Provider (ISP) and that they may charge a fee to transfer away from their service. It will be the client's responsibility to provide the appropriate notice and settle fees with the existing ISP.
Intellectual Property and Copyright
The client warrants that it has obtained for itself and The Networking Company all necessary consents, approvals and licenses for use in the content of the web site.
In the event that the use of the content infringes any intellectual property or copyright of a third party the client will immediately replace the infringing part of the website at its own expense with non-infringing material.
The client agrees to indemnify and keep The Networking Company indemnified and defend at its own expense from and against any and all claims that the content or any act or omission by the client, its employees, agents and representatives infringes any copyright, trademark or intellectual property rights of any third party.
Anti virus scanning
As a subscriber to this service, if you are infected, The Networking Company will carry out the removal and repair, such as is within our power, free of charge.
This is dependant on:
The infection not being caused by the use of unscanned email account
The infection is not as a result of visiting an infected website
The client ensuring that local anti virus software, such as Norton, is up to date
The client ensuring that latest patches to email and Internet programmes are applied
Please note that The Networking Company cannot be held responsible for any loss of information caused by virus attack. Information from the latest backup would be used when reinstating the system as part of any repair and so it is important that you maintain regular backups of information stored on your system.
Data Protection
The information you provide or we hold may be used by our employees and/or agents to:
1. identify you when you make a telephone enquiry
2. help administer any accounts, services and products offered by our company now and in the future write to, telephone, email or visit you in person with information about other services and products offered by us. We will not contact you in this way if you have opted out or otherwise not consented. (Please write to us if you do NOT wish to hear about other products and services.)
ADSL Broadband Accounts Terms and Conditions
Definitions
In this Terms and Conditions Agreement the following words and phrases shall have the following meaning;
"The Company" is The Networking Company of
"Us" or "We" as described in 1.
"The Customer" is the person or company whose name and address is set out in the application form for the supply by the Company to the Customer of the Goods and Services (as hereinafter defined).
"You" or "Your" as described in 3
"Goods" are those goods specified on your order/invoice.
"Service" is the service provided by us to enable you to gain access to the Internet via the telecommunications network and any Services and facilities provided by us in connection with the Service, those Services specified on your order/invoice
"Subscription Fee" is the periodic fee payable by Customers for which Customers will receive the ongoing Services.
The Services
Upon payment of the fees as the Company shall provide, and grant to the Customer a non exclusive, non-assignable and non-transferrable license to use the Services, and in the case of ongoing Services will do so until the Customer Service period expires or is terminated. Acceptance of the Services by the Customer constitutes automatic acceptance of these Terms and Conditions of business.
The Services provided and/or amended by the Company, or at the request of the Customer constitute a formal provision of the Service only when acknowledged by the Company in either of the following ways; by post, by fax, by e-mail, or by telephone.
The Company agrees to provide the Customer with transit and routing services for e-mail and general Internet access. The Company agrees, (for the Subscription Fee paid by the Customer) to deliver IP packets to the Customer Network boundary only and cannot accept or be held responsible for the transit, routing and delivery to individual workstations on the Customer Network.
In partnership with Zen Internet we will use our best efforts to provide you with a high quality Service. In order to maintain the quality and safety of the Service for all users, the provider, Zen Internet, reserves the right to
Temporarily suspend the Service for repairs, maintenance and/or improvement of the Service, but we will give you as much notice as is reasonably practicable before doing so.
Give you instructions from time to time, on how to use the Service.
CONDITIONS OF USE
You shall provide us promptly with all information that we may reasonably require in order to carry out our obligations under this agreement.
The Customer is responsible for all use of Services accessed through their account and for providing a computer, a modem and/or all additional communications equipment and a telephone line, if appropriate, capable of and necessary for connecting to, and accessing, the Services. You are responsible for complying with any related terms and conditions related to the telecommunications service. The Customer is responsible for all telecommunication charges to access the Service.
You will not use the Service for any illegal purpose.
Services are provided for a minimum 1 month term
The Customer may use the Services to link to other networks world-wide and the Customer agrees to conform to the acceptable use policies and terms and conditions imposed by the operators of those networks and services.
If the communications by a Customer do not conform to these standards to the detriment of the Company or its Customers, the Company reserves the right to suspend access of that Customer to the Service until he/she gives a suitable undertaking as to use.
The Services provided by us from Zen Internet have resources that are finite, which the Customer must acknowledge. A reckless or wasteful use of Services provided by the Company can contribute to over-stretching the Service so that the Service provided by the Company to other Customers will degrade. Therefore, the Customer accepts that the Company may without prior notice suspend or terminate the Customers access to the Service where the Customer is using the Service in a reckless or wasteful manner (this decision is entirely at the Company's discretion, but will be decided in good faith).
Except where a network connection account has specifically been purchased from the Company, each Customer's account is only to be used to gain access to Internet services by either:
A single person from up to 2 locations at non-concurrent times
Multiple people from a single computer
Here, the location referred to means a single telephone line or ISDN channel. Multiple users dialling in from different locations but using the same username is not tolerated. Similarly, any form of network access through a single user dial-in account will not be tolerated. Unauthorised IP or Port multicasting, spoofing, broadcasting, vectoring, filtering translation or routing, is not allowed and will result in account termination without refund. Any form of automated dialling system the customer has set up is entirely the responsibility of the customer, this includes its reliability and any call costs it may incur.
You will keep your User Name/s and Password/s in separate places to ensure their security. You must also keep your Password/s private and confidential and ensure that it/they do not become know to another person other than an employee of the Company. You will notify us of any change in circumstances in which you believe your Password/s may have been compromised. The Company may from time to time with prior notice change the Customer's Password/s.
Hardware, and routers, purchased from the Company, are configured and tested by the Company and are supplied configured to meet the Customer's basic network and Internet specifications. Any alterations made to the configuration of the hardware can not be supported by the Company and invalidates the Company's support obligation.
The Customer's internal network configuration remains the responsibility of the Customer. Any interruptions to the Services that occur as a result of an internal configuration issue are not deemed as an interruption or suspension of the formal provision of the Service.
All static IP addresses are rented only and remain the property of the Company.
